AI Product-Specific Terms

Bentley and Subscriber have entered into one or more agreements (“Agreement”) pursuant to which Bentley has agreed to license software, products and/or provide services to the Subscriber as described in the Agreement (collectively, the “Services”). These AI Product-Specific Terms apply to the Subscriber’s use of Bentley products, features, and/or tools that include AI functionality provided in connection with the Services (collectively, the “AI Products”). All capitalized terms not defined in these AI Product-Specific Terms have the meaning given to them in the Agreement. In the event of any conflict between these AI Product-Specific Terms and the Agreement, these AI Product-Specific Terms control.
- For purposes of these AI Product-Specific Terms:
(a) “AI Client” means a third-party artificial intelligence application, agent, agent harness, model, or platform (including without limitation Anthropic Claude, GitHub Copilot, and Google Gemini) that Subscriber elects to connect to an MCP Server, and which is not developed, controlled, or operated by Bentley.
(b) “MCP” means the Model Context Protocol, an open technical standard that enables structured interoperability between an AI Client and external tools, data sources, and services.
(c) “MCP Server” means a server-side component, whether provided by Bentley or a third party, that implements MCP to expose defined Bentley tools, workflows, data, or functionality to an AI Client for the purpose of enabling AI-initiated actions.
(d) “Third-Party AI Service” means any AI Client, AI model, or AI platform that is provided, hosted, operated, or controlled by a party other than Bentley, including any AI Client connected to an MCP Server by or on behalf of Subscriber.
(e) “Subscriber-Operated AI Environment” means any AI Client, AI model, or associated infrastructure that is selected, configured, deployed, or operated by Subscriber (or a third party on Subscriber’s behalf), whether or not such AI Client is connected to an MCP Server.
- AI Limitations. Artificial intelligence and machine learning are rapidly evolving fields of study. AI Products may use machine learning models that generate predictions based on patterns in data. Output generated by a machine learning model is probabilistic and should be evaluated by Subscriber for accuracy as appropriate for Subscriber’s use case, including by employing human review of such output. AI Products may generate incorrect information due to the data or nature of how the model was trained. None of AI Products provide professional advice. Subscriber further acknowledges that the AI Products are not substitutes for Subscriber’s professional judgment, and accordingly, neither Bentley nor its licensors or suppliers are responsible for Subscriber’s use of the AI Products, or the results obtained from such use. This includes outputs and actions generated or initiated through Model Context Protocol (MCP)-enabled tool calls, as further addressed in Section 9 (MCP-Enabled Services) below.
- Processing Environments. Subscriber acknowledges that by using the AI-Products, Subscriber Data may be transferred outside of the Subscriber’s Bentley instance to a centralized Bentley environment, which may be hosted in a different data center region from the Subscriber’s originating Bentley instance (“Centralized Bentley Environment”). Subscriber Data may be retained for a temporary period within the Centralized Bentley Environment to allow for the provision of the Services associated with the AI-Products. The relevant terms set forth in the Agreement relating to Bentley’s security and privacy program will apply to the Centralized Bentley Environment, except for any terms relating to certifications, attestations, penetration testing, and localization specified by the Subscriber.
- Ownership. Subscriber retains all ownership of Subscriber Data that is processed by the AI Products. To the extent permitted by law and excluding any Bentley technology, Subscriber owns the output from the AI Products.
- AI Usage Data. Subscriber agrees and acknowledges that Bentley may from time-to-time collect Usage Data associated with the Subscribers use of the AI Products and that all Usage Data shall be owned by Bentley and deemed Bentley Proprietary Information. Bentley will not use or permit AI Usage Data to train models directly supporting the AI Products.
- Necessary Rights and Privacy Obligations. Subscriber agrees that it has all rights necessary to use the AI Products, including rights to the data Subscriber submits to any AI Products. Subscriber is solely responsible for providing any legally adequate notices to and obtaining any consents from individuals and all third parties for Bentley to perform its rights and obligations under these AI Product-Specific Terms and shall indemnify Bentley from all claims and losses in connection with Subscriber’s breach of its obligations under this section of the AI Product-Specific Terms.
- Prohibited Use. Subscriber will not, and will not allow any third party to, use AI Products to, directly or indirectly, develop or improve a similar or competing product, service, or technology, or as otherwise prohibited in the Agreement. Notwithstanding the foregoing, Bentley operates a co-innovation initiative through which Subscribers are invited to share AI-driven use cases and partner with Bentley as AI transforms infrastructure.
- Training. Subscriber may through its use of the AI-Products opt-in to sharing Subscriber Data for training purposes, specifically, the training and development of Bentley models. Subscriber Data shared for this purpose, is governed by a specific, supplemental agreement entered into between Bentley and the Subscriber.
- MCP-Enabled Services
Where Subscriber’s use of the Services involves MCP:
(a) Role and Control Allocation. Where Bentley makes available an MCP Server, Bentley controls the MCP Server and the underlying Bentley tools, data, and workflows it exposes. Bentley does not develop, control, operate, or take responsibility for any AI Client or other Third-Party AI Service that Subscriber elects to connect to an MCP Server. Any outputs, recommendations, tool selections, workflows, or actions generated, initiated, or proposed by an AI Client or other Third-Party AI Service remain the sole responsibility of Subscriber and the applicable Third-Party AI Service provider, and are subject to Section 2 (AI Limitations) above. This allocation of role and control applies to both Bentley-Native MCP Use and Subscriber’s connection of an AI Client or other Third-Party AI Service; Bentley’s control, and corresponding responsibility, is narrower in the latter case, since Bentley does not develop, control, or operate the connecting AI Client or Third-Party AI Service.
(b) Human Oversight of AI-Initiated Actions. Subscriber acknowledges that MCP enables an AI Client to initiate tool calls, API requests, and other actions within or affecting Subscriber’s Bentley environment, in addition to generating content. All outputs and AI-initiated actions are recommendations only. Subscriber remains solely responsible for reviewing, validating, and approving any AI-proposed or AI-initiated action, including any engineering, operational, or regulatory decision, prior to implementation or reliance. Bentley does not guarantee, and expressly disclaims, the correctness, completeness, or suitability of any output, recommendation, or action generated by an AI Client or other Third-Party AI Service. For Bentley-Native MCP Use, Bentley will elicit affirmative user confirmation before executing any write, modify, or destructive tool call, and will apply Bentley’s standard authentication, authorization, and security controls to such calls. Where Subscriber instead connects an AI Client or other Third-Party AI Service to an MCP Server, Subscriber is solely responsible for implementing equivalent permissioning, confirmation, and security controls within that AI Client or Third-Party AI Service.
(c) Third-Party AI Risk Allocation. Where Subscriber connects a Bentley-provided or third-party MCP Server to an AI Client or other Third-Party AI Service, Subscriber is solely responsible for: (i) selecting the applicable AI Client or Third-Party AI Service; (ii) reviewing and complying with the applicable third-party terms of use; (iii) any processing, retention, or use (including for model training) of data by the Third-Party AI Service; and (iv) the security controls implemented by the Third-Party AI Service provider. Bentley is not a party to, and accepts no liability under, any agreement between Subscriber and a Third-Party AI Service provider. Subscriber further acknowledges that connecting an AI Client or other Third-Party AI Service to an MCP Server may result in Subscriber Data that is otherwise protected by authentication, authorization, and role-based access controls within the Services being transmitted to and processed in an environment outside Bentley’s control. Bentley is not responsible for the protection, handling, or exposure of Subscriber Data once so transmitted.
(d) Audit, Authentication, and Security. MCP interactions may invoke Bentley APIs, tools, and workflows on behalf of Subscriber. Subscriber’s use of MCP Servers is subject to the authentication and authorization controls made available by Bentley from time to time. Bentley may maintain telemetry, logging, audit, and monitoring records of MCP interactions for security, support, and compliance purposes, consistent with Section 5 (AI Usage Data) above. Bentley reserves the right to limit, suspend, or revoke Subscriber’s or an AI Client’s access to an MCP Server where Bentley reasonably believes such access presents a security, legal, or operational risk.
(e) Subscriber-Developed or Third-Party MCP Servers. Where Subscriber or a third party on its behalf develops, deploys, or operates an MCP Server, including one that wraps or exposes Bentley’s APIs, tools, or functionality, that MCP Server constitutes a Subscriber-Operated AI Environment. Bentley does not develop, control, operate, review, or take responsibility for any such MCP Server, including its design, configuration, call volume, or security. Subscriber is solely responsible for ensuring that any such MCP Server, and all use of the Services through it, complies with the Agreement, including any applicable rate limits, usage restrictions, and acceptable use requirements, and remains responsible for any use exceeding normal, human-paced interaction with the Services.
(f) Third-Party MCP Servers Accessed Through Bentley AI Products. Bentley AI Products, including Bentley Copilot, may in the future allow Subscriber to connect a third-party MCP Server for use within that Bentley AI Product. Where such functionality is made available, doing so does not constitute Bentley-Native MCP Use and does not cause Bentley to develop, control, operate, or take responsibility for that third-party MCP Server. Bentley’s role with respect to any such third-party MCP Server is limited to that of a technical intermediary, and Sections 9(a) through 9(e) above apply to such connection as they would to any other AI Client or Third-Party AI Service connected to an MCP Server.
