Thank you for your interest in the Bentley Partner Program. Applying for membership in the Bentley Partner Program is simple -- just complete the following application form and click the submit pushbutton.

Please note that all sections must be completed and submittal of this application does not guarantee acceptance into the Bentley Parnter Program. Applications will be reviewed and applicants notified of their status.

Step 2 - The Agreement

You must accept the Bentley Partner Program Master Agreement as well as the addenda applicable to the program you have applied to in order to be considered for program membership. You must also be authorized to accept this contractual obligation on behalf of your company. Please enter your personal contact information in the form below the contract.

By submitting your application for admission to the Bentley Partner Program, you agree to abide by these terms and conditions. If Bentley accepts your application for admission, you will be required to execute the Bentley Partner Program Master Agreement as well as any applicable addenda prior to admission.

Bentley Partner Program AgreementThis Bentley Partner Program Master Agreement (the “Agreement”) is made as of the Effective Date by and between Bentley Systems, Incorporated, a Delaware corporation with principle place of business at 685 Stockton Drive, Exton, Pennsylvania 19341-0678, USA (“Bentley”) and ________________________________________________, a __________________________________________ with principal place of business at ______________________________________________________________________ ( “Partner”). In consideration of the mutual promises contained herein and of other good and valuable consideration (the receipt and sufficiency of which is hereby acknowledged), Bentley and Partner hereby agree as follows: I. Definitions. a) “Addendum” as defined in Section II herein. b) “Application” means the Bentley software product(s), if any, specified in an Addendum. c) “BPP Guide” means the document that defines the current Bentley Partner Program benefits and obligations as modified by Bentley from time to time. Check with bpp@bentley.com for availability. d) “Effective Date” as defined in Section XI (a) herein. e) “Partner Level” means the particular level of benefits and obligations for the Partner Program as reflected in an Addendum. Each Partner Program may outline one or more Partner Levels that Partner may be eligible to participate in. f) “Partner Program” means the particular type of Bentley Partner Program relationship agreed to between Bentley and Partner as reflected in an Addendum. g) “Product” means the software product(s), if any, developed by Partner under this Agreement and any Addendum. II. Structure of this Agreement This Agreement sets out certain provisions applicable to the Bentley Partner Program as a whole. Bentley and Partner may execute one or more addenda which shall supplement the provisions of this Agreement (“Addenda,” or individually, each an “Addendum”). Each Addendum will establish a specific Partner Program and/or Partner Level (if applicable) which shall be governed by this Agreement and the terms of the applicable Addendum or Addenda. III. Bentley Partner Program Partnership a) Upon the Effective Date, Partner shall become a member of the Bentley Partner Program and become eligible to receive those Bentley Partner Program benefits described in the BPP Guide; however, Bentley may elect not to create a BPP Guide and instead provide Partner with a guide outlining Partner’s benefits under the specific Partner Program(s) to which Partner belongs. b) Partner may apply for consideration as a member of a new Partner Program and/or Partner Level. Bentley is under no obligation to accept Partner into a new Partner Program or Partner Level. If Bentley approves a new Partner Program or Partner Level for Partner, then Partner shall satisfy the relevant Bentley Partner Program requirements and the obligations in the Addendum pertaining to the new Partner Program and/or Partner Level. IV. Bentley licenses a) Partner may be entitled to license certain Applications at the rates, and subject to restrictions, set forth in the applicable Addendum. b) Application use is bound by the end user license agreement that is delivered with such Appliction, with the following amendments which shall govern in the event of a conflict with the terms of such end user license agreement: i. Unless specified otherwise in an applicable Addendum, all Applications shipped to Partner under this Agreement or an applicable Addendum are for internal development and testing use only and are not to be used for any other commercial purpose. For purposes of clarity, examples of prohibited uses of Applications shipped to Partner under this Agreement or an applicable Addendum include, but are not limited to, use of the Applications for: (1) the commercial production of drawings; (2) training; (3) marketing; (4) sales support; or (5) Product demonstrations. No other use of Applications provided under this Agreement is permitted without prior written consent from Bentley. ii. Partner shall not sell, transfer, sublicense, loan, lease or rent any of its rights under its licenses to use Applications. V. Bentley support Bentley shall provide support to Partner in accordance with any applicable Addendum. Support provided by Bentley to Partner under this Agreement or applicable Addendum shall in no way imply that Bentley is responsible for progress or results in the development of the Products. VI. Partner obligations a) Partner will pay in advance at the beginning of each calendar year (unless such other time is specified or agreed upon by Bentley) a Bentley Partner Program fee and relevant program fees for all additional Partner Programs for which Partner has been accepted, as indicated in any Addenda attached hereto. b) Participation in the Bentley Partner Program and applicable Partner Programs requires that Partner comply with the relevant terms and conditions detailed for the applicable program (e.g., training, certification, release of Bentley compliant products within a certain period, etc.). Partner shall comply with all terms and conditions of this Agreement, as well as any applicable Addenda. Failure to do so shall result in termination by Bentley of this Agreement and/or revocation of Partner Programs and Partner Levels in accordance with Section XI, hereof. VII. Title; Reservation of rights a) The Applications and any information which Partner obtains under this Agreement and all Addenda contain proprietary information of Bentley, its licensors or other suppliers, and are protected under United States copyright laws, other applicable copyright laws, other laws relating to the protection of intellectual property, as well as international treaty provisions. b) The entire right, title and interest in and to the Applications and any information Partner obtains under this Agreement and all Addenda and all associated intellectual property rights, shall remain with Bentley or its licensors. c) The Applications are licensed, not sold, and title to each copy of the Applications shall remain with Bentley or its licensors, and shall not pass to Partner. d) Bentley retains all rights not expressly granted. VIII. Confidential information a) Partner agrees to maintain in confidence and not to disclose to any third party all information disclosed to Partner by Bentley pursuant to this Agreement and all Addenda. b) Partner shall not make any commercial use of confidential information for any purpose, or translate, decode, disassemble, decompile, alter, reverse engineer or use the Applications or document sets, or perform any analysis on any material submitted hereunder, except as specifically agreed to by Bentley. c) Partner agrees to limit the disclosure of Bentley confidential information only to those individuals under its control having a need to know about the same to achieve the purposes hereof. d) Under no circumstances shall Partner use or disclose confidential information for purposes of designing or developing Products for use with software products other than Applications. e) All documents, drawings, sketches, designs, Applications, or sample files submitted to Partner shall remain the property of Bentley and shall be returned to Bentley immediately upon termination of this Agreement. f) Partner may not disclose the results of any benchmark test of the Applications without Bentley’s prior written consent. g) Failure to comply with these confidentiality terms is cause for Bentley’s immediate termination of this Agreement and the rights and licenses granted hereunder. IX. No Warranty/Limitation of Liability a) The Applications, as well as any other materials provided by Bentley to Partner under this Agreement and/or applicable Addenda are provided “AS-IS” and with NO WARRANTY OF ANY KIND WHATSOEVER. b) FURTHER, BENTLEY DOES NOT WARRANT THAT THE APPLICATIONS OR ANY OTHER SERVICE OR MATERIALS WILL MEET PARTNER’S REQUIREMENTS, BE FREE FROM VIRUSES OR OPERATE UNINTERRUPTED OR ERROR FREE. BENTLEY HEREBY DISCLAIMS ALL WARRANTIES EITHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF GOOD TITLE, WARRANTIES AGAINST INFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. c) IN NO EVENT SHALL BENTLEY AND ITS LICENSORS BE LIABLE TO PARTNER FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, REGARDLESS OF THE NATURE OF THE CLAIM, INCLUDING WITHOUT LIMITATION LOST PROFITS, COSTS OF DELAY, INTERRUPTION OF BUSINESS, LOSS OF USE, INABILITY TO ACCESS ONLINE SERVICES, ANY FAILURE OF DELIVERY, COSTS OF LOST OR DAMAGED DATA OR DOCUMENTATION, OR LIABILITIES TO THIRD PARTIES ARISING FROM ANY SOURCE, EVEN IF BENTLEY HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS. BENTLEY’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED AMOUNTS RECEIVED FROM PARTNER UNDER THIS AGREEMENT. THE FEES BENTLEY CHARGES PARTNER EXPRESSLY REFLECTS THIS ALLOCATION OF RISK BETWEEN PARTNER AND BENTLEY. X. Trademarks/Publicity a) If authorized pursuant to a particular Partner Program or Partner Level, as reflected in an Addendum, Partner’s use of specified Bentley trademarks shall be made strictly pursuant to the terms and conditions indicated in the applicable Addendum. b) Partner hereby consents to Bentley’s identification of Partner as a member of the Bentley Partner Program in Bentley press releases, advertising or marketing materials, on Bentley’s web site or any other media through which Bentley markets the Bentley Partner Program. XI. Term and Termination a) The “Effective Date” of this Agreement is the date that Bentley confirms acceptance of this Agreement and receives the initial Bentley Partner Program fee. The “Effective Date” for each Addendum shall be the date that Bentley confirms acceptance of the Addendum and receives the fees for the Partner Program and or Partner Type as set forth in the Addendum. This Agreement and each applicable Addendum will then be valid for the remainder of the current calendar year. This Agreement and each applicable Addendum will automatically renew unless terminated (i) by Bentley as provided herein, or (ii) by Partner upon providing Bentley with written notice of its intent not to renew the Agreement at least ninety (90) days prior to the expiration of the then current term. Upon renewal of this Agreement and each applicable Addendum, Partner agrees to comply with Bentley’s then current program terms and conditions as provided in the BPP Guide, should it exist, and as applicable to each Partner Program. b) Bentley may terminate this Agreement, or any Addendum hereto, immediately if Partner fails to perform any obligation or violates any restriction contained in this Agreement or any Addendum hereto. c) Bentley may terminate this Agreement, or any Addendum hereto, without cause by giving Partner written notice. In such event, Bentley will refund the pro rata portion of prepaid, yet unearned, program fees for the remainder of the calendar year. XII. Miscellaneous a) This Agreement, together with any and all Addenda, constitutes the entire agreement of the parties and supersedes all prior oral and written agreements, discussions and understandings between the parties with respect to the subject matter hereof. b) Partner may not assign this Agreement or any Addendum by operation of law or otherwise, without the prior written consent of Bentley. c) The validity, construction, and performance of this Agreement and all Addenda will be governed by the substantive laws of the Commonwealth of Pennsylvania, whose courts, state or federal, shall have exclusive jurisdiction to resolve all disputes surrounding this Agreement and all Addenda. If any provisions of this Agreement or any Addendum shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions of this Agreement or such Addendum shall not be impaired thereby. d) No amendment, modification, or waiver of any provision of this Agreement or any Addenda shall be effective unless it is set forth in writing and authorized by representatives of both parties. e) Partner shall not export any of the Applications. In addition to the foregoing, and not in lieu thereof, Partner agrees to comply with the export laws and regulations of the United States Government as they apply to the exports of Applications and technical data from the United States and re-exports or transfers of Applications and technical data from other countries. Partner shall hold harmless and indemnify Bentley for any and all consequences related to such export. f) Nothing herein shall be construed as creating, at any time, an employer and employee relationship between the parties. IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by duly authorized representatives of the parties effective as of the Effective Date.
